WEBSITE DEVELOPMENT AGREEMENT
Welcome
We (aka Developer) pride ourselves on always doing the right thing and going above and beyond to meet our client’s expectations. But it’s always a good idea to have everything in writing so both sides understand what they are getting, who does what, when it will be done, and what happens if something goes wrong. You (aka Client) won’t find any complicated legalese in this contract. We want what is best for both parties, now and in the future.
The Basics
You are agreeing to hire Sites 4 Pros to build and host a new website for your company for the price below for a duration of 24 months. After 24 months, your contractual obligation is completed and you will be auto-enrolled into our month-to-month maintenance plan priced at $150 per month. If you choose to cancel after 24 months, you can take your website to another provider.
Website Description
Here’s the specific details your website will have:
- Your website will have up to 1, 10, or 20 content pages depending on the plan you choose (not including privacy policy, terms & conditions, and thank you page). More pages can be added for $150 per page.
- Each page will have text, photos, contact/lead form, logo, navigation menu, header, footer, on-page SEO, mobile/tablet/speed optimization
- After publishing the new website, we agree to provide Unlimited Content Updates, Web Hosting, Maintenance, Daily Backups and Website Security Protection.
- YOU will be providing ALL Content for your website (ie text, copy, photos, logo, etc). If you want us to create a logo, provide photos or create copy/text, there will be an extra charge for that.
Monthly Maintenance
We include fast and secure web hosting, security certificates, 3rd party backups, uptime monitoring, plugin updates, theme updates, WordPress updates, unlimited content edits, and unlimited support available when you need it. Our monthly maintenance plan is provided to you absolutely for free for the first 24 months. You can request updates to your website anytime by visiting https://sites4pros.com and clicking Site Update Request at the bottom. If you are experiencing difficulties with your website for any reason, you may reach out to us anytime. All tech support needed to keep your website running smoothly is included at no extra cost during your initial 24-month term. We will respond to your email within 1-2 business days.
Communication Responsibilities
During the project, you will need to designate ONE and only one person from your business or organization to communicate with us. You’ll be assigned a project manager that you can communicate with via email about the website while we are building it out. If you feel the need to make a phone call, let us know via email and we can schedule a phone call with the ONE person from your organization that you designated.
Project Timeline
The website should be completed within 30 days of us receiving your onboarding information. The project could take longer if you don’t respond to our communications in a timely manner (1-2 business days). We will always respond to your feedback within 1-2 business days in order to meet the project timeline.
Revisions
All website plans are based on pre-design templates. The design/layout of these templates cannot be changed for your website. However, we will customize the template to include your logo, colors, font, photos and text. Each template has several elements/modules that can be included or excluded and we will use our discretion for what to include that is unique to your business. We will certainly consider your feedback during the project so you receive a website you're happy with.
Payment & 30 Day Money Back Guarantee
The Total Cost to build the website is $4,200 for the Startup Plan, $4,680 for the Pro Plan, and $6,000 for the Elite Plan which will be paid in monthly payments of $175, $195, or $250 respectively via auto-debit for a term of 24 months. If at any time you wish to cancel within 30 days of your first payment, just let us know, and we will cancel your contract. Your 30-day money-back guarantee begins the day that you sign this contract. If you do not cancel within the first 30 days, your contract will then be locked in, and you are not free to cancel your contract after that point. The 30-day money-back guarantee is exclusively granted to your website subscription package. It does not warranty any other add-on purchases.
Fair Use
We do not have predefined limits on website features such as email notification, SMS lead alerts, CRM automation, and Leads to Spreadsheet. However, we do invoke a fair use policy for these features. If your website requires more than 300 SMS notifications or 300 CRM automation runs per month, your website thus requires enterprise-level service. If this is the case with your website, we’ll provide you with the option of paying an additional fee for these services or capping SMS leads and CRM automations at 300/mo.
Cancellation. If you wish to cancel the contract during the initial 24 month term, you have 2 options:
OPTION 1: You can pay off the remaining balance of the Total Cost. We will transfer all website files and databases to you and you gain full ownership of the website.
OPTION 2: You can stop making payments and your website will be disabled and we retain all rights and ownership of website files and databases.
If you fail to complete the term of the contract for reasons such as expired credit/debit card that is not updated, canceling a credit/debit card so it can no longer be charged, disputing a charge from us, or similar, we’ll assume you wish to cancel the contract and by default choose OPTION 2 above. If you fail to complete the term of the agreement for any reason, we retain all rights and ownership of your website files and databases.
Confidentiality. During the course of this contract, you may need to share proprietary information, including trade secrets, industry knowledge, and other confidential information with us in order for us to complete your website in its final form. We will not share any of this proprietary information at any time, even after the contract is fulfilled. We also will not use any of this proprietary information for our personal benefit at any time, even after the contract is fulfilled.
Ownership Rights. You continue to own any and all proprietary information you share with us during the term of this contract for the purposes of the project. We have no rights to this proprietary information and may not use it except to complete the project. Upon completion of the contract, you will own your website including files and database.
While we will customize our template designs for your website, you recognize that websites generally have a common structure and basis. We continue to own any and all template designs we may have created prior to or during this contract.
Without our expressed consent, you agree that “web design by Sites 4 Pros” (or any combination of text citing Sites 4 Pros) will be visibly displayed on your site acknowledging design credit.
Authority to Enter Into This Contract
We agree that we have the right to enter into and perform this contract. And that we have the right to utilize and distribute the designs and other visual assets (ie stock photos, icons, etc) created for you and that such designs and visual assets are not owned by anyone else to our knowledge. If it turns out we don’t have these rights, we will remove designs and visual assets and replace them with similar visual assets.
You agree that you have the rights to use any proprietary information, including, but not limited to trade secrets, trademarks, logos, copyrights, images, data, figures, content, and the like that you provide us to be included on your website. If you don’t have these rights, you agree to pay any associated damages we may experience or will take responsibility so that we do not experience any damages.
Disclaimer of Warranties
We do not guarantee that your website will create any additional profits, sales, exposure, brand recognition, visibility on google and other search engines or the like. We will do our absolute best to make all of this happen, but we can’t guarantee it because a lot of it is outside our control.
We Reserve the Right to Refuse Service to Anyone
We reserve the right to, at any time, sever our payment plan with any client for any reason. This is extremely rare, but in the event that our company decides that it is not fruitful for either party to remain in contact with each other, we reserve the right to end services immediately. In the event that we do decide to end services with you, one of two possible outcomes may ensue. 1. We will refund you for all payments that were paid toward your 24-month website payment plan. 2. We will deliver your website to you, and we will not require any future payments from you beyond the date at which we cancel the contract. You will not be required to pay off your remaining contract balance, and you will receive full ownership of your website.
Privacy Policies and Terms and Conditions
Sites 4 Pros is not responsible for your privacy policies and terms and conditions related to your website. We will assist you in putting any privacy policy information or terms and conditions information on your website for free. However, you, the client, are responsible for knowing and following the privacy laws of your country, state, and local municipality. You must send us your specific privacy policy and terms and conditions in writing via email, and we will place your policies and terms on your website for you. You are responsible for updating your privacy policy and terms and conditions as your business operations change or as your local laws change. We will assist you in updating your policies and terms at any time; you must send all updates to your policies and terms in writing via email whenever an update is required.
Limitation of Liability
Under no circumstances shall either your or us be liable to the other party or any third party for any damages resulting from any part of this agreement such as, but not limited to, loss of revenue or anticipated profit or lost business, costs of delay or failure of delivery.
Legal Fees
In the event of a dispute resulting in legal action, the successful party will be entitled to its legal fees, including, but not limited to its attorneys’ fees.
Legal and Binding Agreement
This contract is legal and binding between Sites 4 Pros and you the client. This contract may be entered into and is legal and binding in the United States in accordance with Texas state law. The venue shall be in a court of competent jurisdiction in the State of Texas, Ellis County, and both parties expressly consent to jurisdiction in such courts. We both represent that we have the authority to enter into this contract.
